Terms of Service

These Terms of Service ("Terms") govern your use of the NeuraDeer service ("Service"), operated by Dávid Lengyel, individual entrepreneur (Lengyel Dávid e.v.), registered seat: Eötvös József utca 11., 2500 Esztergom, Hungary, registration number: 55643173, tax number: 56934681-1-31 ("NeuraDeer", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

NeuraDeer is a hosted AI assistant for websites and online shops. It answers visitor questions, recommends products and captures leads, based on the content and product data you connect to it. The Service is provided as software-as-a-service; we may improve, change or discontinue individual features with reasonable notice.

2. Accounts

• You must provide accurate registration details and keep your credentials and API keys confidential.
• You are responsible for all activity that takes place under your account.
• Accounts are for the legal entity or individual that registers them; you may not resell access without our written agreement.

3. Free trial, plans and payment

• New accounts may use a 14-day free trial. No payment card is required to start the trial.
• Paid plans are billed monthly in advance. Current prices and message/product limits are shown on our pricing page and in your dashboard.
• Payments are processed by our payment provider (Stripe). We do not store your full card details.
• You may cancel at any time; the cancellation takes effect at the end of the paid period. Fees already paid are not refunded on a pro-rata basis unless required by law.
• If you exceed your plan's limits, we may throttle the Service or ask you to upgrade.

4. Your content and your customers' data

You keep all rights to the website content, product data and documents you connect to NeuraDeer ("Your Content"). You grant us the limited right to process Your Content solely to operate the Service for you.

Where the Service processes personal data of your website visitors, you act as the data controller and we act as the data processor on your instructions. Our processing is described in the Privacy Policy.

You are responsible for having a lawful basis to connect Your Content, and for informing your visitors that a chat assistant is in use.

5. Acceptable use

You may not use the Service to:

• break the law or infringe anyone's rights, including intellectual property rights;
• process special categories of personal data (health, biometric, political opinions and similar) through the chat;
• send malware, attempt to gain unauthorised access, or interfere with the Service's operation;
• attempt to extract our models, prompts or source code, or use the Service to build a competing product;
• generate deceptive, harassing or illegal content.

We may suspend an account that materially breaches this section, with notice where practicable.

6. AI-generated answers

The assistant generates answers automatically from the data you connect. While the Service is designed to answer only from your own content, automated systems can still be wrong or incomplete. You are responsible for reviewing your bot's configuration and for any statement it makes to your customers. NeuraDeer gives no warranty that generated answers are accurate, complete or fit for a particular purpose.

7. Availability and support

We aim to keep the Service available continuously, but we do not guarantee uninterrupted operation. Planned maintenance is announced in advance where possible. Support is provided by email at info@neuradeer.com.

8. Liability

To the extent permitted by law, our total liability arising out of or related to the Service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim. We are not liable for lost profits, lost revenue, lost data or indirect or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for wilful misconduct or personal injury.

9. Term and termination

You may stop using the Service and delete your account at any time from your dashboard. We may terminate an account for material breach, or with 30 days' notice for convenience. On termination we delete your account data in line with the retention periods in the Privacy Policy. You can export your data before termination.

10. Changes to these Terms

We may update these Terms. Material changes are announced by email or in the dashboard at least 15 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.

11. Governing law

These Terms are governed by Hungarian law. Disputes fall under the jurisdiction of the competent Hungarian courts. If you are a consumer, mandatory consumer protection rules of your country of residence still apply.
